The Board Rules

Status

  • Unless otherwise determined by the Association in General Meeting the Board of Directors of the Association shall consist of the five (5) office bearers and four (4) board members.
  • The founding Directors of the Association shall be the subscribers to the Memorandum of Association.
  • The Board is elected from the members of the Association. The members delegate tasks to the Board, which in turn directs the business of the Association and causes implementation through the Offices of the Secretary.

Composition

  • The Board of Directors shall consist of the President, the Vice President, the Secretary, the Joint Secretary, the Treasurer, (hereinafter referred to as office-bearers) and four Directors, (hereinafter referred to as "Board Members").
  • The High Commissioner of India to Namibia, who shall be the ex-officio Patron of the Association, and two (2) of his delegates may attend the Board meetings with voice but no vote.
  • The immediate two Past Presidents may attend the Board meetings with voice but no vote.

Election of the Board

  • The President, the Vice President, the Secretary, the Joint Secretary, the Treasurer and four members shall be elected at an Annual General Meeting by the members by voting.
  • At the beginning of such an election, members of the Board present shall elect from among their number, a Chairperson of the meeting who, for the purpose of the above election, shall have an original and also, in case of equality of votes, a casting vote.

Term of the Office and Re-election

All Directors of the Board shall be elected for a fixed term of two years.
  • The President, the Vice-President, and the Secretary, the Joint Secretary and the Treasurer of the Board shall be eligible for re-election for two consecutive terms in the same office.
  • The Board Members may be re-elected for any number of terms.
  • The Board shall have power to fill vacancies that may arise due to resignation or other causes. The members chosen to fill the vacancies shall hold office only until the end of the current period or until a new election by the General Assembly is made.
Duties

  • To supervise the general administration of the Association;
  • To implement the decisions taken by the Members;
  • To deal with matters of an urgent or practical nature in between Meetings;
  • To brief the Patron on important developments and matters concerning the Association and obtain advice.
Meetings of the Board

Meetings of the Board shall be held between General Meetings.
  • At least four (4) meetings shall be held in a year at an interval of not longer than 24 weeks at a time, and place to be decided upon by the Secretary in consultation with the President, or if he/she is not available, with the Vice President.
  • The meetings will be called by the Secretary at least seven days prior to the meeting. Board Members shall receive the agenda together with accompanying material relevant to the agenda three days before the date of the meeting.
